1. Acceptance of Terms
By creating an account or using MicroCRM (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, you may not use the Service. These Terms constitute a binding legal agreement between you (the User/Tenant) and MicroCRM.
2. The Service, Accounts, and Responsibilities
MicroCRM provides a multi-tenant, cloud-based CRM and business management system.
- License: We grant you a limited, non-exclusive, non-transferable license to access and use the Service for your internal business purposes, subject to your paid subscription plan ("Subscription").
- Eligibility: You must be at least 18 years old and capable of forming a binding contract under Indian law.
- Compliance: You agree to comply with all applicable local, state, and national laws in India, including laws regarding data privacy (e.g., how you collect and use your end-customers' data).
- Security: You are responsible for maintaining the confidentiality of your account credentials.
3. Subscription, Pricing, and Limits
- Pricing: You agree to pay the subscription fees (in Indian Rupees - ₹) and any applicable taxes (e.g., GST) based on the plan you select.
- Billing: Fees are billed on a recurring basis, in advance. We reserve the right to change our prices with prior notice to you.
- Plan Limits: Usage of the Service (e.g., number of customers, appointments, SMS credits) is strictly limited by your current Subscription tier. Exceeding limits may result in service restrictions.
- Cancellations: You may cancel your subscription at any time. Cancellation will take effect at the end of your current billing cycle. No refunds will be provided for any partial period of service usage.
4. Customer Data Ownership and Use
- Data Controller: You are the legal Data Controller for all data regarding your end-customers ("Customer Data"). You warrant that you have the right to process this data.
- MicroCRM as Processor: We act only as a Data Processor. We process Customer Data strictly according to your instructions.
- Data Deletion: Upon termination of your Subscription, we will purge or anonymize all Customer Data within 90 days, unless legally required to retain it.
5. Termination and Liability
- Termination: We may terminate your access to the Service immediately if you breach these Terms.
- Limitation of Liability: Our total liability shall not exceed the amount you paid to us in the twelve (12) months preceding the event giving rise to the claim. We are not liable for indirect damages.
- Governing Law: These Terms are governed by the laws of India. Any disputes will be subject to the exclusive jurisdiction of the courts located in Bangalore.
